1. Introduction
Welcome to Kurncy. These Terms and Conditions govern your use of Kurncy Wallet, the Partners for MSB program, the Partners for Business program, and associated API services (collectively, the "Services") provided by Kurncy Solutions Inc., a company incorporated under the laws of Canada.
By using any part of the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and located in a jurisdiction where using these Services is not prohibited by applicable law. By using the Services, you confirm that:
- You are not subject to sanctions or restrictions under Canadian, U.S., or other applicable law.
- You are acting on your own behalf or with full legal authorization from a business entity.
- You understand and accept the risks associated with digital assets.
3. Nature of Services
Kurncy Wallet is non-custodial. This means Kurncy does not hold, store, or have access to your private keys or recovery phrase. The practical consequences of this are important:
- You are solely responsible for securing your seed phrase and wallet credentials.
- If you lose your seed phrase and your device, your funds cannot be recovered by Kurncy or anyone else.
- Kurncy cannot freeze your account, reverse a transaction, or intervene in any blockchain operation on your behalf.
The Services include:
- Self-custody wallet for KAS and supported Kaspa ecosystem assets (KRC-20 tokens, KRC-721 NFTs, KNS domains)
- Partner program infrastructure for MSB operators and business merchants
- Fiat-to-crypto and crypto-to-fiat conversion tools where available by region
- APIs for third-party integrations and partner operations
- EVM-compatible smart contract interactions on supported networks
Feature availability varies by region, product version, and applicable law. Not all features are available in all jurisdictions.
4. Compliance and Regulation
Kurncy operates within frameworks that include FINTRAC (Financial Transactions and Reports Analysis Centre of Canada) and the AMF (Autorité des marchés financiers, Québec). AML and KYC obligations apply where legally required.
For partner programs: compliance obligations depend on your specific jurisdiction, registration status, and operating model. Kurncy's compliance infrastructure is designed to support your program — it does not replace your organization's own legal and regulatory responsibilities. You must ensure your operation meets applicable requirements independently.
Identity verification may be required for certain services. You agree to provide accurate, complete documentation when requested.
5. User Responsibilities
You agree not to:
- Use the Services for unlawful, fraudulent, or abusive purposes
- Attempt to reverse engineer, tamper with, or circumvent any part of the platform
- Distribute malware, conduct denial-of-service attacks, or compromise platform integrity
- Use the Services to process funds connected to money laundering, terrorist financing, or sanctioned entities
You agree to keep account information accurate and notify Kurncy promptly of unauthorized access or suspicious activity.
6. Fees
Network fees (gas), conversion fees, and platform usage fees may apply. All fees are disclosed before you confirm a transaction. Partner programs may apply additional fees per their individual agreements. Kurncy does not control third-party network fees, which are set by the underlying blockchain.
7. Risk Disclosure
Using digital assets involves material risk. You acknowledge and accept the following:
- Irreversibility: Transactions confirmed on a blockchain cannot be undone. Once you confirm a send, it is final. There is no chargeback, no reversal, and no recovery mechanism if you send to the wrong address or are deceived.
- Volatility: Digital asset prices are volatile. You may lose part or all of the value of your holdings.
- No performance guarantee: Kurncy does not guarantee any asset's future value, stability, or performance.
- Regulatory uncertainty: The regulatory environment for digital assets continues to evolve. Changes in law or policy in your jurisdiction may affect the availability or legality of services you are currently using.
- Technology risk: Software bugs, network outages, and protocol changes can affect functionality. Kurncy makes reasonable efforts to maintain service quality but cannot guarantee uninterrupted availability.
You use the Services at your own risk.
8. No Custodianship or Financial Advice
Kurncy is a technology company. We are not a bank, broker, investment advisor, or financial institution. We do not:
- Hold or manage your funds on your behalf
- Provide investment advice, trading recommendations, or financial planning
- Guarantee any financial return or outcome
Nothing on our platform or in our communications constitutes financial, legal, or investment advice. Consult qualified professionals before making financial decisions involving digital assets.
9. Intellectual Property
All platform software, logos, documentation, and branding are the property of Kurncy Solutions Inc. or its licensors. You may not copy, reproduce, distribute, or create derivative works without our written consent. Your feedback or suggestions submitted to Kurncy may be used without compensation or attribution.
10. Privacy
Your privacy matters to us. How we handle your data is described in our Privacy Policy. The core commitment: Kurncy does not store your private keys and does not custody your wallet balances.
11. Third-Party Services
Some features are delivered through third-party providers, including fiat on-ramp and off-ramp services, exchange integrations, and banking partners. These providers operate under their own terms and conditions, which you are responsible for reviewing. Kurncy is not liable for third-party actions, fees, errors, or service interruptions.
12. Modifications to These Terms
Kurncy may update these Terms as our services evolve or legal requirements change. We will provide notice of material changes through our website or app. Continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree with a change, stop using the Services before the effective date.
13. Suspension or Termination
Kurncy may suspend or terminate access to Services if you violate these Terms, engage in fraudulent or unlawful activity, or if operational or legal requirements necessitate service changes. Because Kurncy is non-custodial, termination of a Kurncy account does not affect your access to underlying blockchain assets — your keys remain yours.
14. EVM Smart Contract Interactions
Kurncy Wallet may allow you to interact with EVM-compatible smart contracts on supported networks, including Kasplex and Igra. When doing so:
- You are responsible for understanding the function and risks of any contract you interact with before confirming a transaction.
- Kurncy may surface a list of verified contracts. Inclusion in that list does not constitute an endorsement, audit, or guarantee of contract security or behavior.
- Read-only calls (view/pure functions) do not broadcast transactions and carry no financial risk.
- Write calls (nonpayable or payable functions) submit signed transactions to the blockchain. These are irreversible once confirmed.
- Payable functions may transfer native tokens from your wallet. Verify amounts carefully before signing.
- Kurncy is not liable for any loss arising from smart contract bugs, exploits, unexpected behavior, or user error.
15. Custom and Unverified Contracts
Kurncy Wallet may allow you to interact with contracts not in the official registry. You acknowledge that:
- Custom contracts have not been reviewed or audited by Kurncy.
- Malicious contracts can drain wallet balances, steal tokens, or perform harmful operations.
- You must independently verify any contract's address, source code, and ABI before interacting.
- A warning will be displayed before write interactions with unverified contracts.
- You accept sole responsibility for consequences from interacting with custom contracts.
16. Smart Contract Risk Disclosure
In addition to general digital asset risks, smart contract interactions carry specific risks:
- Code vulnerabilities: Even audited contracts may contain bugs that cause fund loss.
- Rug pulls and exit scams: Contract owners may include mechanisms to extract funds from users.
- Approval exploits: Token approvals may grant unlimited spending rights to a contract address.
- ABI mismatches: An incorrect or malicious ABI can result in unintended function calls.
- Failed transaction fees: Network fees may still be consumed on failed transactions.
Always review the full transaction details shown on screen before signing. Kurncy does not audit third-party contracts and accepts no liability for losses from smart contract interactions.
17. KaspaCom Marketplace Terms
If you access the KaspaCom Marketplace through Kurncy Wallet, marketplace transactions are governed by KaspaCom's terms of trade available at kaspa.com/terms-trade. Where KaspaCom's marketplace terms conflict with these Terms, KaspaCom's terms govern the marketplace transaction. These Terms continue to govern your use of Kurncy services.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Kurncy Solutions Inc. is not liable for:
- Loss of funds resulting from irreversible blockchain transactions, whether caused by user error, fraud, or technical failure
- Loss of access to wallet assets resulting from lost or compromised seed phrases or credentials
- Indirect, incidental, or consequential losses arising from use or inability to use the Services
- Actions, fees, or failures of third-party providers integrated with the platform
Services are provided "as is" and "as available." Kurncy makes no warranties, express or implied, about uninterrupted service, error-free operation, or fitness for a particular purpose.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Québec and the laws of Canada. Any dispute arising from these Terms or the Services will be resolved exclusively through the courts of Québec, Canada, unless mandatory local law in your jurisdiction requires otherwise.
